Terms and Conditions
Content Usage & Copyright
Clients are granted full usage rights to final, approved designs upon full payment.
Clients may not alter, modify, resell, or reuse any design work in other contexts without written permission.
Any derivative works must be authorised, as unauthorised modifications may breach copyright laws.
Payment Terms
We’re a small business built on trust, clear expectations, and kind communication. To keep things fair and running smoothly for everyone, here’s how our payment process works:
Upfront Payments: Unless otherwise agreed in writing, all invoices must be paid in full before any design work or digital services commence.
Staged Payments: For larger or longer-term projects, milestone payments may be arranged. Work may pause between stages until the next payment is received.
Payment Terms: Invoices are due upon receipt unless otherwise agreed in writing. Payments can be made via bank transfer or another agreed method.
Late Payments: Invoices not paid on time may incur a £40 fixed late fee, plus interest charged at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts Act.
Non-Payment: Persistent non-payment may result in project termination, suspension of services, and (if necessary) legal recovery procedures. All unpaid work remains the property of RR Creative until full payment is received.
Intellectual Property & Licensing
All design work remains the intellectual property of RR Creative Design Ltd. until full payment is received.
Upon payment, the client is granted a non-exclusive, non-transferable licence to use the final approved designs for the agreed purpose(s).
This licence does not permit the client to reuse, resell, or repurpose the work in unrelated projects without prior written consent.
RR Creative reserves the right to showcase completed work in portfolios, marketing, and promotional material unless otherwise agreed in writing.
Stock Images & Third-Party Assets
Any stock images, templates, or design assets used within your project are licensed under RR Creative’s subscription agreements (e.g. Shutterstock, Adobe Stock, Envato Elements, Canva Pro).
These licences are non-transferable and cover the intended use within the specific project.
Clients are not permitted to extract, reuse, or redistribute these assets independently.
Clients wishing to use stock assets in other contexts must obtain their own licences directly.
RR Creative is not liable for the misuse of stock assets once work is delivered.
Website Ownership & Transfers
Websites are built and maintained using RR Creative’s systems unless otherwise agreed in writing.
Transfer of domains, email setups, or other digital assets will incur a minimum admin fee of £55, plus additional time billed at our standard hourly rate if the task requires extended effort.
If you know you’ll want to transfer your site before the build begins, please inform us upfront so we can quote accordingly.
Post-launch transfer requests will be reviewed and priced based on complexity, time, and platform.
RR Creative is under no obligation to provide backend access, FTP credentials, or source files unless specifically agreed in writing.
Access to backend areas, server files, or content management systems will only be granted if agreed in writing at the start of the project. Post-handover technical support is not included unless part of an ongoing agreement.
Contingency Access & Digital Continuity
To ensure continuity of service, RR Creative has a secure contingency plan in place.
In the event of my death or incapacitation, nominated individuals have been granted access to essential digital accounts and systems. This is simply to allow for responsible management of any active projects and, where possible, completion or smooth handover of work.
For planned absences (like holidays or sabbaticals), my appointed Virtual Assistant will act as a point of contact and will have delegated access where needed. Clients will be notified via out-of-office replies if this applies.
These measures exist solely to protect client interests and ensure everything continues to run smoothly, even if I’m unexpectedly unavailable.
Client-Requested Transfers & Cancellations
If a client chooses to move their project elsewhere, an admin fee will be charged for time incurred in preparing the necessary files and transitioning the project.
If a client fails to pay invoices on time, we reserve the right to pause or terminate work until payment is received.
In cases of non-payment, legal action may be pursued, and any unpaid work remains the property of RR Creative until full payment is made.
Disclaimer on Client-Provided Content
Clients must ensure they have the rights to any content (text, images, branding) provided for use.
RR Creative is not liable for copyright infringements, misinformation, or legal issues arising from client-supplied content.
Confidentiality
Both parties commit to maintaining the confidentiality of proprietary or sensitive information shared during collaboration.
Professional Indemnity Insurance
We hold professional indemnity insurance up to £1 million, providing peace of mind and coverage for professional services.
Limitation of Liability
RR Creative is not liable for indirect, incidental, or consequential damages arising from the use of our services.
We create content based on information provided by the client and are not responsible for any inaccuracies, misrepresentations, or omissions within that content.
We are not liable for any breaches of previous contracts or agreements the client may have had with other parties.
Any legal or contractual disputes arising from prior engagements with third parties remain the sole responsibility of the client.
It is the client’s responsibility to ensure the appropriate use, hosting environment, and maintenance of delivered files, websites, or digital assets once the project is complete.
Force Majeure
RR Creative shall not be held liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including illness, natural disasters, internet or power outages, or government restrictions.
Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales.
Client Responsibilities
Clients are responsible for providing accurate and timely information to avoid project delays.
Clients must approve work within reasonable timeframes to ensure progress.
Clients must manage hosting/domain fees (if applicable) to avoid website downtime.
Portfolio Usage
RR Creative reserves the right to showcase completed projects in our portfolio unless otherwise agreed, in which case we will honour any confidentiality agreement.
Privacy & Cookies Policy
We comply with GDPR regulations and only collect data necessary for project execution.
Personal data is not retained post-project completion.
Clients can request data access, correction, or deletion.
Our website uses cookies for analytics and an improved user experience.
Amendment Clause
We recommend that all clients read these Terms & Conditions carefully prior to entering into an agreement with RR Creative. Proceeding with a project or making payment implies acceptance of these terms.
RR Creative reserves the right to update these Terms & Conditions at any time. The most recent version will always be available at rrcreative.co.uk/terms. The version in place at the time of booking or agreement will apply to that specific project, unless otherwise agreed in writing.
It is the client’s responsibility to review the current Terms & Conditions before commencing a new project or making payment, as doing so constitutes acceptance of the current version.
